Agreement to Terms By accessing or using the uFire platform ("Platform," "we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all users, including people, Brands, and visitors. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. You must be at least 18 years old to use uFire. Users under 18 are not permitted to use uFire or submit an application. Your use of the Platform is also governed by our Privacy Policy at ufire.ai/legal/privacy, which is incorporated into these Terms by reference. By clicking 'I Agree' or 'Create Account' at registration, you affirmatively agree to these Terms. Your acceptance is recorded with a timestamp. 2. About uFire uFire is a platform where people curate product recommendations on personal hub pages and earn affiliate commissions when visitors purchase through their links. uFire may also connect people with local businesses ("Brands") for marketing opportunities in the future. uFire does not employ people or create content on their behalf. 3. Account Registration To access most features, you must create an account. You agree to: - Provide accurate, current, and complete information - Maintain and update your information to keep it accurate - Keep your password confidential - Accept responsibility for all activity under your account - Notify us immediately of any unauthorized use at legal@ufire.ai We reserve the right to suspend or terminate accounts that contain inaccurate or misleading information. By creating an account, you consent to receive transactional communications related to your account and campaigns. You may separately opt in to marketing communications and may opt out at any time by following the unsubscribe instructions. 4. People Terms 4.1 Eligibility To become a member, you must: - Be at least 18 years of age - Maintain active social media accounts with genuine, engaged followers - Reside in the United States - Have a valid bank account capable of receiving payments via Stripe 4.2 Application and Approval Applying to uFire does not guarantee acceptance. We review applications based on content quality, authenticity, engagement, and local relevance. We reserve the right to approve or decline any application at our sole discretion. 4.3 Independent Contractor Status people are independent contractors, not employees of uFire. Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship. people are responsible for: - Their own taxes, including self-employment taxes - Obtaining any required business licenses - Providing their own equipment and tools - Determining how, when, and where they create content (subject to campaign briefs) - Their own health insurance, retirement, and other benefits people retain creative control over their content within the parameters of campaign briefs. 4.4 Campaign Participation When you accept a campaign: - You agree to create and post content that meets the campaign brief requirements - You agree to post within the campaign deadline - You represent that the content is original and does not infringe any third-party rights - You agree that your follower count and engagement metrics are genuine and have not been artificially inflated 4.5 FTC Disclosure Requirements All sponsored content posted through uFire campaigns must include clear and conspicuous disclosure. This is a legal requirement under FTC guidelines and a strict condition of platform participation. Specifically: - Every campaign post must include #ad or #sponsored at the beginning of the caption or in a location that is clearly visible without expansion - #uFirePartner is required in addition to, not instead of, #ad or #sponsored - Disclosures must not be buried in a string of hashtags - Video content must include a verbal disclosure and/or on-screen text - Failure to include proper disclosures will result in post rejection and may result in account suspension You acknowledge that failure to disclose paid partnerships is a violation of FTC regulations and may expose you to personal liability. Disclosure is required for all material connections, including but not limited to monetary payment, free products, discounts, or other consideration. uFire reserves the right to monitor compliance and remove non-compliant content. 4.6 Content Standards You agree not to post content that: - Is false, misleading, or deceptive - Infringes any copyright, trademark, or other intellectual property right - Contains defamatory, harassing, or discriminatory material - Violates any applicable law or platform terms of service - Promotes illegal products or services - Makes unsubstantiated health or medical claims 4.7 People Access and Score uFire is free for people. There is no subscription fee, no setup cost, and no monthly charge. You earn money only when someone buys through your affiliate links. 4.8 Payout Terms - You keep 97% of every affiliate commission earned through your hub. uFire retains 3% as a platform fee. This split is displayed transparently in your payout summary. - Your payout summary always shows three line items: gross commission, uFire platform fee (3%), and Stripe transfer fees. Nothing is bundled or hidden. - Stripe transfer fees (including a $2.00 monthly account fee charged only in months a payout transfer occurs, and a per-transfer fee of 0.25% + $0.25) are passed through to you at cost and itemized separately from uFire{"'"}s 3% platform fee. - Payouts are made via Stripe Connect to your connected bank account. - Payment processing services for people are provided by Stripe and are subject to the Stripe Connected Account Agreement (stripe.com/connect-account/legal) and Stripe Terms of Service (stripe.com/legal). By accepting these Terms, you agree to be bound by the Stripe Connected Account Agreement as modified from time to time. You authorize uFire to share information required for payment processing with Stripe. - Earnings accumulate in your account balance and are transferred once your balance reaches the $50.00 minimum payout threshold. - A completed IRS Form W-9 (or equivalent tax documentation) is required before your cumulative earnings reach $600. uFire will issue IRS Form 1099-NEC to any person who earns $600 or more in a calendar year. Tax documentation collection is facilitated through Stripe. - Affiliate commissions are tracked automatically via Amazon Associates. No manual verification is required. - uFire will issue IRS Form 1099-NEC to any person who earns $600 or more in a calendar year. - Minimum payout transfer is $50.00. - We reserve the right to withhold payouts if we have reason to believe fraud, artificial engagement, or platform manipulation has occurred pending investigation. 4.9 Account Standing and Suspension people may be flagged for poor standing based on: - Artificial follower or engagement inflation - FTC disclosure violations - Platform abuse or harassment - Fraudulent affiliate link activity people in poor standing may have reduced access to platform features. people may be suspended or permanently banned for serious violations. We will make reasonable efforts to notify you and provide an opportunity to respond before taking significant account action, except where immediate action is required to protect the platform or other users. 5. Brand Terms 5.1 Campaign Creation When you create a campaign on uFire, you agree to: - Provide accurate campaign briefs and requirements - Pay the full campaign budget upfront or as agreed - Review and respond to post submissions within 5 business days - Provide clear, lawful campaign guidelines 5.2 Payment Campaign budgets plus processing fees are paid via Stripe upfront. Campaign budget funds are held by the platform pending campaign completion. By funding a campaign, you authorize uFire to disburse 80% of campaign budget to the person for each approved post. 5.3 Refund Policy - If a campaign receives no approved posts, you may request a full refund of unused campaign funds within 30 days of campaign end. - If a campaign is partially fulfilled, a pro-rated refund of unused funds may be issued at uFire's discretion. - Funds for approved posts that have been paid out to people are non-refundable. - No refunds are available for campaigns where all posts were approved and paid. - To request a refund, contact billing@ufire.ai. 5.4 Content License Upon approval and payment of a person's post, the Brand receives a perpetual, non-exclusive, royalty-free, worldwide license to repost, share, embed, and use the approved content on the Brand's own social media channels, website, paid advertisements, print materials, email marketing, and any other marketing materials without additional compensation to the person. This includes the right to edit, crop, or repurpose the content for the Brand's marketing needs. Ownership of the underlying content remains with the person, who retains the right to use the content on their own channels. The person may not license the same content to a direct competitor of the Brand for 90 days following the post date. 5.5 FTC Compliance Brands are responsible for ensuring all campaigns comply with FTC guidelines. By creating a campaign, you represent that the campaign brief does not require people to make false or misleading statements and that you understand paid partnerships must be disclosed. 5.6 Brand Conduct You agree not to: - Create campaigns for illegal products or services - Require people to post content without proper disclosures - Engage in false or misleading advertising - Make health claims that violate FDA guidelines - Harass, threaten, or abuse people 6. Intellectual Property 6.1 Your Content You retain ownership of all content you create. By submitting content through the Platform, you grant uFire a non-exclusive, worldwide, royalty-free license to display, reproduce, and promote your content on the Platform and in uFire marketing materials to showcase the Platform's capabilities. 6.2 uFire's IP All Platform content, code, design, trademarks, and materials created by uFire are our property. You may not copy, modify, distribute, or create derivative works without our written permission. 6.3 DMCA / Copyright Policy We respect intellectual property rights. Prohibited Conduct You agree not to: - Use the Platform for any unlawful purpose - Impersonate any person or entity - Attempt to access accounts or systems you are not authorized to access - Introduce malware, viruses, or harmful code - Engage in scraping or automated data collection without written permission - Manipulate follower counts, engagement, or any metrics - Circumvent any security feature of the Platform - Use the Platform to facilitate money laundering or fraudulent transactions - Post hate speech, harassment, or discriminatory content - Post explicit, pornographic, or NSFW content - Make fraudulent charity or cause claims on your hub 7.1 Hubs and Fire Products Users are solely responsible for all content on their public hub (ufire.ai/hub/[handle]). uFire provides the platform but does not endorse, verify, or guarantee any user content, product recommendations, or claims made on hubs. Product picks in your Fire Products are personal recommendations by you, not endorsements by uFire. uFire is not responsible for product quality, safety, or accuracy of descriptions. Default picks provided at signup are suggestions only — users should review and customize them. Estimated affiliate earnings shown in the app are approximations; actual commissions are determined by Amazon and paid according to Amazon's payment schedule. 7.2 UGC Portfolio Content By uploading content to your UGC Portfolio, you warrant that you own or have rights to all uploaded content and grant uFire a non-exclusive license to display that content on the platform. Copyright infringement results in content removal and may result in account termination. DMCA notices may be submitted per our DMCA process (Registration No. DMCA-1070238). 7.3 My Cause Users are responsible for the accuracy of any charity or nonprofit listed on their profile. uFire does not verify, endorse, or guarantee any listed cause or organization. Fraudulent charity claims are a violation of these Terms. 8. Disclaimers and Limitation of Liability THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that: (a) the Platform will be uninterrupted or error-free; (b) campaign results will meet your expectations; (c) person content will achieve any particular reach or engagement; or (d) any defects will be corrected. TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) FOR PEOPLE, UFIRE'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS PAID TO YOU IN THE 12 MONTHS PRECEDING THE CLAIM; (b) FOR BRANDS, UFIRE'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE CAMPAIGN BUDGET AT ISSUE OR THE TOTAL AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL UFIRE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you. 9. Indemnification You agree to indemnify and hold harmless Team W LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your content; (c) your violation of these Terms; or (d) your violation of any third-party rights. 10. Dispute Resolution 10.1 Informal Resolution Before filing any formal dispute, you agree to contact us at legal@ufire.ai and attempt to resolve the issue informally for at least 30 days. 10.2 Binding Arbitration Any dispute, claim, or controversy arising from or relating to these Terms or the Platform that cannot be resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in Clark County, Nevada, or remotely. The arbitrator's decision shall be final and binding. YOU AND UFIRE WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS. 10.3 Exceptions Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. 10.4 Governing Law These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. 10.5 Brand-People Disputes Disputes between people and Brands regarding campaign content, approval, quality, or payment shall be submitted to uFire for internal review. uFire's determination shall be final and binding on both parties with respect to platform actions, including payment release and content approval decisions. This subsection does not affect either party's right to pursue claims against the other party in arbitration. 11. Termination We may suspend or terminate your account at any time immediately for cause, including violation of these Terms, fraud, or illegal activity; or for convenience upon 30 days written notice to your registered email address. You may close your account at any time by contacting us. Upon termination: (a) your right to use the Platform ends immediately; (b) pending payouts for already-approved posts will be processed; (c) all other pending campaigns are cancelled; (d) we will retain your account data for 90 days for legal and compliance purposes, after which it will be permanently deleted unless retention is required by applicable law; (e) content previously licensed to Brands pursuant to Section 5.4 will remain subject to that license notwithstanding termination. 12. Changes to Terms We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the Platform. Continued use after the effective date of changes constitutes your acceptance. 13. Miscellaneous - Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and uFire. - Severability: If any provision is found unenforceable, the remaining provisions remain in effect. - No Waiver: Failure to enforce any right is not a waiver of that right. - Assignment: You may not assign your rights or obligations under these Terms. We may assign ours without restriction. - Force Majeure: uFire is not liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, network outages, third-party platform changes or outages, payment processor failures, labor disputes, or government action. - Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights. - California Residents: If you are a California resident, you have additional rights under the California Consumer Privacy Act (CCPA).
